prices shown are wholesale and do not include freight charges. This
list supersedes all other price listings, subject to change without notice,
F.O.B. Gaffney,

. Typographical errors are subject
to correction.
Please
include your Westgate Customer Number each time you call or write.
Length of cuts and the end use of the fabric provide us with important
information. Please include this information with your order when possible. This
allows us to give you the correct allowance if your order must be pieced.
Credit
terms are
Net 30 days from the date of the invoice. If
the invoice remains unpaid after 30 days, a ½% per month finance charge will be
added, which is equivalent to a 6% annual rate.
In particular circumstances and on all custom orders, Westgate reserves
the right to require full or partial advance payment of an order and the signing
of a non-cancellation letter, regardless of the account status of the purchaser.
Accounts sent to collection will assume all costs plus the merchandise amount.
Westgate reserves the right to cancel credit or to change credit terms without
prior notice.
Minimum
order
is one yard.
Contract
orders will
be quoted for any large job having commercial or institutional requirements.
Quotes are available for special custom orders requiring special widths, fabric
constructions, ground cloths and/or colors.
Exact
color matches require
a cutting with your order. While we
control dye lots as closely as possible, we cannot guarantee
exact dye lot matches due to different production runs.
Written
confirmation of phone orders may result in duplicate orders. Please do not
confirm an original phone order unless absolutely necessary. If necessary,
mark “Confirmation – Do Not Duplicate”.
Before
cutting, be sure that all fabrics are inspected! Verify the correct
pattern, color, dye lot, quantity and quality before cutting. Once cut, the
fabric cannot be returned.
CLAIMS
AND RETURNS
Merchandise
returns must
be authorized first. Call 1-800-527-6666 to discuss return procedures. A
restocking fee of 20% plus freight is charged for customer errors. Unauthorized
returns result in a restocking fee of 35% plus freight. Restocking fees and
freight charges are not charged for Westgate errors. Merchandise returns must be
returned in saleable condition within sixty days of the invoice date.
No returns are allowed on orders of less than six yards of an individual
SKU; fabricated items; special order fabrics; special order finials or poles;
goods that are cut or processed; if a claim or return request is made more than
60 days after the invoice date; wallpaper or borders; or purchase samples.
No returns or claims will be allowed on fluctuations of 3% or less in the
length of fabrics made into ceiling-to-floor draperies; on trimmings, tassels
and tiebacks unless merchandise is sent in error and then claim must be made
within five days of receipt
of goods; on any special sale priced items regardless of yardage; due to changes
in color or hand of fabrics chemically treated or dry cleaned; on export orders,
including Canadian; on fabrics that have been flame proofed, laminated, quilted
or fabricated; labor or improper installation.
TERMS
AND CONDITIONS
This
wholesale price list is an offer by Westgate Interiors, LLC to sell its products
to the Buyer under the terms and conditions set out herein. Acceptance is
expressly limited to the terms and conditions set out herein. Any additional or
different terms contained in the Buyer’s purchase order will not be construed
as proposals for additions to the sale contract. Notification of objection to
such additional and different terms is hereby given.
Failure to abide by any policy of Westgate Interiors, LLC may result in the
termination of our business relationship.
The
laws of the state of
Texas
will govern the rights and duties of Westgate Interiors, LLC and the buyer of
any product. Any suit filed by either Westgate Interiors, LLC or the buyer must
be filed in
Tarrant County
,
Texas
.
In accordance with the provisions of the Flammable Fabrics Act, as amended on
May 4, 1967
, the merchandise included in our price lists is not intended for use in the
manufacture of wearing apparel.
EXCLUSION
OF WARRANTIES
LIMITATION
OF BUYER’S REMEDIES
The
implied warranties of MERCHANTABILITY and fitness for a particular purpose and
all other implied warranties are EXCLUDED from this transaction and shall not
apply to the goods sold.
Seller has made no affirmation of fact or promise relating to the goods
being sold that has become any basis of the bargain made or has created or
amounted to an express warranty that the goods would conform to any such
affirmation or promise.
Any description of the goods set forth herein is for the sole purpose of
identifying the goods and no description of the goods has been made part of the
basis of the bargain or has created or amounted to any express warranty that the
goods would conform to any such description.
No sample or model has been made part of the basis of the bargain or has created
or amounted to an express warranty that all of the goods would conform to any
such sample or model.
The Buyer and the Seller agree that the Buyer’s sole and exclusive remedy
against the Seller shall be for either the repair or replacement of the
non-conforming goods or the refund of the purchase price thereof, provided the
non-conforming goods are promptly returned to the Seller. The Buyer agrees that
no other remedy (including but not limited to, incidental or consequential
damages for lost profits, lost sales, injury to person or property, or any other
incidental or consequential loss) shall be available to him.

FINISHES
All
Westgate and Payne fabrics may be treated with Teflon ® soil release from
Dupont to help prevent staining and soiling. Fabrics are also available with a
flame retardant finish that meets NFPA 701 or NFPA 260, the toughest standard in
the
United States
. Note that special finishes may affect the color and stability of the fabric.

FABRIC
CARE
The
Decorative Fabrics Association compiled the following basic rules of fabric
care. They are intended as a guide for the Interior Designer. A certain amount
of preventative maintenance on the part of the individual homeowner is highly
recommended, but the actual cleaning of draperies and upholstery should be
performed by a professional dry cleaner that specializes in home furnishings.

FABRIC
SHOULD BE PROTECTED FROM THE SUN. Draperies
should be lined, and interlined when fragile fabrics are used. Shades should
be drawn during the day and awnings should be used whenever possible. Window
glass magnifies the destructive elements in the rays of the sun. The winter
sun and reflection from the snow are even more harmful than the summer sun.
Trees and shrubbery help protect windows. Colors
can fade by oxidation (gas fading) if fabrics are kept in storage for too
long a period without airing. Some colors fade more easily than others.
Impurities in the air may cause as much fading as direct rays of the sun.
USE
A REPUTABLE DRY CLEANER SPECIALIZING IN HOME FURNISHINGS.
Dust
has impurities that affect fabrics. Vacuum fabrics often. Dry cleaning
should be done at regular intervals before excessive soil has accumulated.
Very few fabrics are washable.

FEW
FABRICS ARE COMPLETELY STABLE. Fabrics
breathe and absorb moisture, resulting in stretching or shrinking. It is
reasonable
to expect as much as a 3% change in any drapery length. Fabrics placed over
or near heating and cooling vents may react to a much greater degree.

WEAR
WILL VARY WITH THE AMOUNT OF USE.
Some
weaves are stronger than others. A favorite chair will not last as long as a
seldom used showpiece.

APPLIED
FINISHES MAY HELP FABRICS RESIST SOIL AND STAIN. Finishes
help fabrics resist spotting, but they are not necessarily the end-all to
every problem. Light colors are likely to benefit most. Dining room chairs
will soil no matter what is used. A finish does not eliminate the necessity
of properly caring for fabrics. Spots should still be given immediate
attention.

SYNTHETIC
FIBERS. Synthetic
yarns have allowed impressive strides in advancing the technology of
weaving, but they are not miracle fibers. Performance will vary with the
construction of the fabric and its application.
SHIPPING
DAMAGE?
ON
RECEIPT OF PACKAGE, IF DAMAGE IS APPARENT:

Instruct
driver to note damage on his delivery receipt.

Accept
package, open and inspect fabric (most package damage is superficial or only
affects the first few inches of the fabric.)

After
examining, if fabric is not useable, phone Customer Service at 1-800-527-6666
immediately.
IF
DAMAGE IS CONCEALED OR NOT APPARENT,
phone Customer Service at 1-800-527-6666 immediately upon discovery.

DRIVER IS NOT RESPONSIBLE FOR DAMAGE INSPECTIONS. IT IS THE RESPONSIBILITY OF YOU
OR YOUR WORKROOM TO PERSONALLY CONTACT THE CARRIER’S SERVICE DEPARTMENT IN
YOUR AREA.
Westgate
Interiors, LLC will readily reship any order providing you or your workroom
follows the steps outlined above. Be aware that we only have 10 working days
from the date the package is received to advise the carrier of possible damage.
After 10 working days, the carrier will not honor a request for damage
inspection and Westgate Interiors, LLC will not be in a position to help you
with your damage claim.
